PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCEPTING THESE TERMS, YOU ENTER INTO A BINDING LEGAL AGREEMENT WITH REALTYLOOP LLC (“REALTYLOOP,” “WE,” “US,” “OUR”). THESE TERMS, ALONG WITH OUR PRIVACY POLICY, GOVERN YOUR ACCESS TO AND USE OF THE REALTYLOOP PLATFORM AND SERVICES.

IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT USE THE PLATFORM. THESE TERMS TAKE PRECEDENCE OVER ANY OTHER DOCUMENTS OR AGREEMENTS LINKED TO THESE TERMS.

RealtyLoop reserves the right to modify these Terms at any time. Changes become effective immediately upon posting. Continued use of the Platform following updated Terms constitutes acceptance of those changes.

You should seek legal advice to ensure your use of the Platform complies with these Terms and applicable law.

1. Use of Platform

1.1 Age Restrictions: Users must be at least 18 years old. If you are a legal guardian allowing a minor (13-17 years old) to use the Platform, you agree to supervise and assume all liabilities related to their use.

1.2 Account Ownership: Accurate and complete information is required for Platform Account registration. The Platform is intended for business or professional use. You, or the business entity you represent, are the account owner.

1.3 Intended Use: You agree to use the Platform for lawful purposes in accordance with these Terms. This includes obtaining necessary permissions and consents for any content or data you provide.

1.4 Privacy: Using the Platform indicates consent to our collection, use, and disclosure of information as outlined in our Privacy Policy.

1.5 Account Security: You are responsible for safeguarding your login credentials and for all activities under your account.

1.6 Communication Services: Compliance with TCPA and CAN-SPAM Act is required when using the Platform’s communication features.

1.7 Third-Party Services: RealtyLoop is not responsible for third-party services accessible through the Platform.

1.8 Third-Party Content: Use of any third-party content on the Platform is at your risk.

1.9 Customizations: Customizing the Platform with your branding is your responsibility, including adherence to intellectual property laws.

1.10 Excessive Use: RealtyLoop reserves the right to manage or restrict your use based on excessive data usage.

1.11 Updates and Changes: The Platform may be updated or changed at RealtyLoop’s discretion.

1.12 International Use: You must comply with local laws if accessing the Platform outside the United States.

2. Prohibited Uses

In using the RealtyLoop LLC Platform, you agree not to engage in any of the following prohibited activities:

2.1 Unlawful Activities: You may not use the Platform for any unlawful purposes or in furtherance of illegal activities. Your use of the Platform must comply with all local, state, national, and international laws and regulations.

2.2 Harmful Conduct: You must not use the Platform to harm others or the Platform itself. This includes not transmitting viruses, malware, or any other malicious or destructive code. Do not attempt to disrupt, overload, or harm the operation of the Platform or its users’ enjoyment.

2.3 Infringement of Rights: You must not use the Platform to infringe upon the intellectual property rights of others, including but not limited to copying, distributing, or publishing content that does not belong to you without appropriate authorization.

2.4 Harassment and Abuse: You must not use the Platform to harass, threaten, or abuse others, engage in hate speech, or disseminate offensive, defamatory, or otherwise objectionable content.

2.5 Fraud and Misrepresentation: Engaging in fraudulent activities or making misrepresentations on the Platform, including impersonating others or providing false information, is strictly prohibited.

2.6 Spamming: Sending unsolicited advertisements or promotions, spam, or solicitations is not permitted. This includes unauthorized marketing, promotional materials, «junk mail,» «spam,» «chain letters,» «pyramid schemes,» or any other form of solicitation.

2.7 Unauthorized Access or Interference: Attempting to gain unauthorized access to the Platform, other accounts, computer systems, or networks connected to the Platform through hacking, password mining, or any other means is prohibited. You must not interfere with or disrupt the integrity or performance of the Platform or the data contained therein

2.8 Exploiting Minors: You must not use the Platform to exploit minors in any way, including exposing them to inappropriate content, asking for personally identifiable details, or otherwise.

2.9 Excessive Use of Resources: You must not use the Platform in a manner that excessively strains its technical capacity or that of its underlying systems and networks.

2.10 Illegal Content: Posting or transmitting illegal content, including content that is sexually explicit, violent, or that promotes illegal activities, is strictly forbidden.

2.11 Data Scraping and Harvesting: Unauthorized collection or harvesting of information or data from the Platform, including the use of automated systems such as «robots,» «spiders,» or «offline readers» to access the Platform more frequently than a human could reasonably produce in the same period, is prohibited.

 

Violation of these prohibitions may result in the immediate suspension or termination of your access to the Platform and may subject you to civil and criminal penalties. RealtyLoop LLC reserves the right to investigate and take appropriate legal action against anyone who, in RealtyLoop LLC’s sole discretion, violates this provision, including, without limitation, reporting you to law enforcement authorities.

3. Payments

3.1 Fees and Charges: You agree to pay all fees and charges associated with your use of the RealtyLoop LLC Platform. These fees may include, but are not limited to, monthly or annual subscription fees, transaction fees, and additional service fees. The specific fees and charges applicable to your account will be detailed in your service agreement or provided to you at the time you sign up for the service.

3.2 Billing and Payment Terms: Fees for the RealtyLoop LLC services are billed in advance on a recurring basis, as specified in your service agreement. Payment obligations are non-cancelable, and fees paid are non-refundable. You are responsible for providing complete and accurate billing and contact information and notifying us of any changes to such information.

3.3 Late Payments and Non-Payment: In the event of late payment or non-payment, RealtyLoop LLC reserves the right to suspend or terminate your access to the Platform and services. You may be charged interest on any overdue amount at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower. You will be responsible for all reasonable expenses (including attorneys’ fees) incurred by RealtyLoop LLC in collecting such overdue amounts.

3.4 Payment Methods: RealtyLoop LLC accepts various forms of payment, including credit card, debit card, and other electronic payment methods. By submitting your payment details, you authorize RealtyLoop LLC to bill and charge you through the provided payment method.

3.5 Price Changes: RealtyLoop LLC reserves the right to adjust pricing for its services or any components thereof in any manner and at any time. Such price changes will be effective following email notice to you or an announcement on the Platform.

3.6 Taxes: Unless otherwise stated, fees do not include any taxes, levies, duties, or similar governmental assessments, including value-added, sales, use, or withholding taxes assessable by any local, state, provincial, federal, or foreign jurisdiction (collectively, «Taxes»). You are responsible for paying all Taxes associated with your purchases, excluding taxes based on RealtyLoop LLC’s net income.

3.7 Subscription Renewals: Unless you notify RealtyLoop LLC before the end of the applicable subscription period that you want to cancel a subscription, your subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee (as well as any Taxes) using any credit card or other payment mechanism we have on record for you.

3.8 Cancellations and Refunds: You may cancel your subscription to the RealtyLoop LLC services at any time. However, there are no refunds for cancellation, and you will have access to the service until the end of your current billing period.

3.9 Disputed Charges: If you believe you have been billed in error, you must contact RealtyLoop LLC within 60 days of the invoice date. RealtyLoop LLC will not issue refunds or credits after this 60-day period.

4. Intellectual Property

4.1 Ownership: The content, trademarks, and other intellectual property on the Platform are owned by RealtyLoop or its licensors.

4.2 License: A limited license is granted to access and use the Platform content in accordance with these Terms.

5. Disclaimers

5.1 «As Is» and «As Available»: The RealtyLoop LLC Platform and all content, materials, services, and products available through the Platform are provided on an «as is» and «as available» basis. RealtyLoop LLC makes no representations or warranties of any kind, either express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform.

5.2 No Warranties: RealtyLoop LLC disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. RealtyLoop LLC does not warrant that the Platform, its servers, or email sent from RealtyLoop LLC are free of viruses or other harmful components.

5.3 Accuracy of Information: RealtyLoop LLC does not warrant or make any representations regarding the accuracy, reliability, or use of the content, information, or materials available through the Platform. You acknowledge that such content, information, and materials may contain inaccuracies or errors, and RealtyLoop LLC expressly excludes liability for any such inaccuracies or errors to the fullest extent permitted by law.

5.4 Service Availability: RealtyLoop LLC does not guarantee uninterrupted or secure access to the Platform. The operation of the Platform may be interfered with by numerous factors outside or within RealtyLoop LLC’s control.

5.5 Third-Party Links and Services: The Platform may contain links to third-party websites or services that are not owned or controlled by RealtyLoop LLC. RealtyLoop LLC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

5.6 User Responsibility: You expressly agree that your use of the RealtyLoop LLC Platform is at your sole risk. You are responsible for taking all necessary precautions to ensure that any content, material, or information you obtain from the Platform is free of viruses or other harmful components.

5.7 No Liability for User Actions: RealtyLoop LLC is not responsible for any actions taken by users of the Platform, including but not limited to, users who post inaccurate or misleading information.

5.8 Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above disclaimers, exclusions, or limitations may not apply to you, and you may have additional rights.

6. Limitation of Liability, Indemnification, and Mitigation

6.1 Limitation of Liability: In no event shall RealtyLoop LLC be liable for any special, indirect, incidental, or consequential damages, or any damages whatsoever, arising out of or in connection with the use of the Platform or services provided. This limitation includes damages for loss of data, profit, or due to business interruption, regardless of whether RealtyLoop has been notified of the possibility of such damages. The aggregate liability of RealtyLoop under these Terms shall not exceed the total amount you paid to RealtyLoop for the services in the three months preceding the claim.

6.2 Indemnification: You agree to defend, indemnify, and hold harmless RealtyLoop, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, damages, liabilities, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, any use of the Platform’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

6.3 Mitigation: In the event of any potential claim, you agree to provide prompt and reasonable cooperation to RealtyLoop in the defense of such claim. RealtyLoop may, at its sole discretion, assume the exclusive defense and control of any matter subject to indemnification by you, and in such case, you agree to cooperate with RealtyLoop’s defense of such claim.

6.4 Exclusion: Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in such jurisdictions. RealtyLoop’s liability in such jurisdictions shall be limited to the greatest extent permitted by law.

6.5 Dispute Resolution: In the event of a dispute arising under or in connection with these Terms or the Platform, both parties agree to attempt to resolve the dispute through good faith negotiation before pursuing other legal remedies.

6.6 Waiver and Severability: No waiver by RealtyLoop of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

7. Communications and Notices

7.1 Method of Communication: RealtyLoop LLC may communicate with you via email, through the Platform, or by posting notices on the RealtyLoop LLC website. You agree that all agreements, notices, disclosures, and other communications that RealtyLoop LLC provides to you electronically satisfy any legal requirement that such communications be in writing.

7.2 Contact Information: It is your responsibility to keep your contact information, including your email address, up to date in your account profile. RealtyLoop LLC is not responsible for any failure in communication due to outdated or incorrect contact information.

7.3 Email Communications: By creating an account on the RealtyLoop LLC Platform, you agree to receive email communications from us regarding your account, transactions, updates to the Platform, promotional offers, and other relevant matters. You may opt-out of non-essential communications by following the unsubscribe instructions included in such emails.

7.4 Legal Notices: Legal notices to RealtyLoop LLC should be sent to info@realtyloop.com. Such notices are deemed effective upon confirmed receipt by RealtyLoop LLC.

7.5 Service Announcements and Administrative Messages: You may not opt-out of service-related announcements and administrative messages, as these are considered part of your account membership and necessary for the management and operation of the Platform.

7.6 User Feedback: RealtyLoop LLC welcomes your feedback and suggestions about the Platform. Please be aware that any feedback you provide is non-confidential and RealtyLoop LLC shall be free to use such information on an unrestricted basis.

7.7 Receipt of Communications: Communications from RealtyLoop LLC are considered delivered to you when sent to the email address or mailing address you have provided in your account profile or when posted on the RealtyLoop LLC Platform or website.

7.8 Reporting Miscommunications: If you receive any communication that appears to be from RealtyLoop LLC that requests personal information or financial information, or seems suspicious in nature, please report it to us immediately at info@realtyloop.com.

You agree to submit to the personal jurisdiction of the courts located within that state for the purpose of litigating all such claims or disputes.

8.5 Dispute Resolution: Any dispute arising from or relating to the subject matter of these Terms of Service shall be finally settled in accordance with the Arbitration Agreement section of these Terms of Service.

8.7 No Waiver: No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and RealtyLoop LLC’s failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

8.8 Survival: Provisions of these Terms of Service which, by their nature, should survive termination of your use of the Platform, shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8.9 Notices: Any notices or other communications provided by RealtyLoop LLC under these Terms of Service, including those regarding modifications to these Terms of Service, will be given: (i) via email; or (ii) by posting to the Platform.

8.10 Force Majeure: RealtyLoop LLC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond RealtyLoop LLC’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

8.11 Relationship of the Parties: No joint venture, partnership, employment, or agency relationship exists between you and RealtyLoop LLC as a result of these Terms of Service or your use of the Platform.
